Participant Terms & Conditions

Introduction

Qrowdsy Ltd is a research company that aims to recruit and gather the insights of both professionals and consumers across various industries and specialties (“Participants”) with companies who have sought out and are interested in their expertise (“Clients”).

Qrowdsy provides opportunities for “Participants” to take part in sharing their expertise through “Projects” this can be in the form of, but not limited to video interviews, surveys, telephone consultations, online activities or face to face focus groups.

Taking part in research is at the sole discretion of the Participant, and they are not obligated to accept or continue any Project, they may decline to participate or continue in a Project at any time.

This is a general research participant agreement between Qrowdsy Ltd and the research Participant (also referred to as "you", "your", "yourself" ). This Participant terms and conditions outlines the expectations of you as a Participant and Qrowdsy Ltd as the research company.

Agreement and Acceptance of Projects

In order to participate in a project the Participant must ensure that their participation will not:

  1. Present any conflict of interest or perceived conflict of interest
  2. Cause any breach of agreement or obligation (including but not limited to, your employer, your previous employer, or any entity to which you provide consulting services).
  3. Result in the disclosure of any confidential or proprietary information (including trade secrets), that are not exclusively owned by you.
  4. Result in the communication or disclosure to any third party of material that is nonpublic information concerning any public company.
  5. Violate any law, rule or regulations.

Participants must decline to participate in a project that would result in a violation of any of the above conditions.

When agreeing to participate in a Project, Participants must agree to the following:

  1. You have no authority to act on behalf of Qrowdsy Ltd or the Client.
  2. You will not identify either Qrowdsy Ltd or the Client as your employer
  3. You are joining the project in an independent capacity, and not as a representative of any company or organisation, either past or present, unless otherwise agreed in writing
  4. You agree that for quality, compliance or training purposes, your research consultation may be recorded and you will be made aware of this if this is the case.
  5. You are responsible for reviewing any legal agreements that may restrict your ability to participate in Projects. This includes, but is not limited to, employment agreements, consulting agreements, non-disclosure agreements, employee handbooks codes of ethics.
  6. You agree to be bound by the terms of the Company's NDA, which can be found here:(www.qrowdsy.com/nda)
  7. When accepting a Project, you understand that regardless of your credentials, for example as an accredited investment advisor, medical practitioner or other accredited professional, the information you provide in the course of your interactions with Qrowdsy Ltd. or its clients are in your personal capacity, are opinions and do not represent professional advice

Accuracy of Information

You are solely responsible for the accuracy and completeness of information that you provide throughout the course of a Project, you understand that Qrowdsy Ltd, its Clients and any third parties may and will rely on your information. You agree that you will provide accurate information about yourself including and not limited to your current employer, your former employer and any conflicts of interest that will affect your ability to provide information on a Project.

The purpose of all research is to gather insightful, honest information so it is important that Participant is honest, transparent and as insightful as possible. Please note, that if at any point it becomes apparent that you either have not provided true or correct information about yourself or if your answers are nondescript this may also affect your incentive.

Privacy

Information collected during Research Qrowdsy Ltd may ask for your personal information, including but not limited to your name, age, gender, email address, phone number. This will only be used in the context of the research and not shared with any third parties without your permission. We often need information such as your email (so we can send your reward incentive or schedule or research interview), your phone number (if you are doing a research interview and we need to get in contact to schedule you), your gender and age (to ensure we have a representative sample of people included in the research). Qrowdsy Ltd will allow you to request the deletion of your personal information.

By agreeing to participate in a Project you agree that Qrowdsy Ltd may collect, synthesise and retain information about you from sources including but not limited to yourself and your activities with Qrowdsy Ltd. Qrowdsy Ltd will protect your personal information in accordance with their Privacy Policy (www.qrowdsy.com/privacy-policy). Qrowdsy Ltd, will not sell your personal information to third-party marketers or similar organisations, or disclose your Personal Information publicly, unless you provide your consent or we determine it to be appropriate in line with legal regulations, laws or government requests.

Confidentiality

By taking part in a project, you agree not to communicate, reveal or disclose all “Confidential Information” belonging to the Client, Qrowdsy Ltd or any of its affiliates. “Confidential Information” is classified as any and all non-public information, presented in any medium related to the Client, Qrowdsy Ltd. or any of its affiliates. This includes but is not limited, the names of Clients, Clients Employees, questions posed by the client, any topics discussed, information or materials shared, opinions expressed or work commissioned by the Client, Qrowdsy Ltd. or their affiliates. In the event that you are required to disclose Confidential Information under applicable law, you agree to notify Qrowdsy Ltd and to cooperate with Qrowdsy Ltd in exercising any right or exemption available to prevent the disclose confidential information to the extent that is permitted under Law. You agree not to use any Confidential information for personal benefit (including for the purpose of making investments or trading decisions). The duty to maintain confidentiality will last until the Confidential Information becomes generally known to and available for use by the public, other than as a result of of a disclosure by you or any other person under legal obligation not to disclose the information.

Payments

The incentive value for taking part in the research will be communicated to you before taking part, and will be provided to you at the end of the research project. This is to appreciate you for the time spent and effort in assisting us with our research project. As we organise research on behalf of our Clients (other research consultancies), we will make payments on confirmation from the research agency that you are eligible. We endeavour to make payments within 5 working days of confirmation from our Client that any relevant activities have been completed to their satisfaction. Payments are made via e-voucher (www.tremendous.com/catalog) or via bank transfer (BACS), subject to Qrowdsy Ltd’s discretion. If the country in which you live makes neither of these payment options not possible, we will work with you to come to a mutual payment method that works for both parties. The purpose of all research is to gather insightful, honest information so it is important that Participant is honest, transparent and as insightful as possible. Please note, that if at any point it becomes apparent that you either have not provided true or correct information about yourself or if your answers are nondescript this may also affect your incentive, if this is the case it will be communicated to you.

Quality

Research should be completed honestly. Where we suspect that research has been completed dishonestly or fraudulently, we reserve the right not to pay incentives and to cancel your participation. For research surveys, all responses undergo manual quality and fraud checks following submission. The quality checks involve making sure your responses are logical and there is enough detail in any open ended responses. After quality checks are complete and confirmation from the Client, the reward incentive will be released to you. If it becomes apparent that the responses are not logical, repeated or fraud checks fail, this may result in your response being rejected.

You agree, warrant and understand that any data you submit must be accurate (where they state facts) and be genuinely held (where they state opinions).

You agree and warrant that contributions as a Participant must not:

  • contain any material which is defamatory of any person;
  • contain any material which is obscene, offensive, hateful or inflammatory;
  • promote sexually explicit material;
  • promote violence; be threatening, abusive or invade another's privacy;
  • promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
  • infringe any copyright, database right or trademark of any other person;
  • infringe the rights of privacy of any person;
  • contain someone else's personal data, unless you make sure this individual has consented to be bound by these Ts and Cs and this was requested by us and is necessary for the purpose for which the contribution is being provided;
  • contain your personal data unless requested by us and necessary for the purpose for which the contribution is being provided;
  • be likely to deceive any person;
  • promote any illegal activity;
  • be likely to harass, upset, embarrass, alarm or annoy any other person;
  • be used to impersonate any person, or to misrepresent your identity or affiliation with any person;
  • advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

We have the right to remove any contribution or posting you make on the site or application if, in our opinion, such contribution does not comply with the content standards set out in these Terms and Conditions.

Non-solicitation

You agree that for a period of one year from the completion of any Project with a Client to whom you have been first introduced by us, you will not circumvent Qrowdsy Ltd by knowingly soliciting, negotiating with, or entering into any agreement or other arrangement (whether written or oral) with a Client first introduced to you by us pursuant to which you would be engaged by such Client to provide services of a similar nature to the services, Experts provide to Qrowdsy Ltd.’s Clients (i.e., short term consulting services) without our prior written consent. You also agree that, for a period of one year after the termination of your relationship with us for any reason whatsoever, you will not, directly or indirectly, solicit for employment, employ or hire any employee of Qrowdsy Ltd. or of any Clients to whom you have been first introduced by us.

Limitation of liability

You agree that under no circumstances will Qrowdsy Ltd and our Client be liable to you or any other party for any indirect, incidental, consequential, exemplary or punitive damages arising from or relating to your services and other conduct as a Participant, or your interactions otherwise with us or our Clients. Qrowdsy Ltd shall not be liable for any claims against you or third parties. In no event shall the maximum cumulative liability of Qrowdsy Ltd arising from or related to any connection with these Terms and Conditions exceed the fees paid by Qrowdsy Ltd to you hereunder for the relevant consultation or survey in the month such liability is alleged to have arisen.

Qrowdsy Ltd agrees to not impose upon you, any liability for indirect, incidental, consequential, exemplary or punitive damages based on your performance of services under these Terms & Conditions, so long as such damages do not arise out of or relate to a failure by you to comply with these Terms & Conditions. Collectively the terms in this paragraph constitute the “Limitation of Liability”.

Governing Law and Venue

Each Party agrees to comply with the data protection regulations as stipulated under the governing law, ensuring that any personal data processed in the course of providing or receiving the Products and/or Services will be kept secure.

Each Party agrees to keep all Confidential Information received from the other Party in strict confidence and shall not disclose such information to any third party without the prior written consent of the disclosing Party.

Agreement and Acceptance

By accepting the Participant terms and conditions laid out in this Agreement and participating in Research, you agree to (i) comply with the terms of this Agreement; (ii) provide true, correct, and complete information about yourself; and (iii) ensure that you engage with the Research in an honest, transparent, and good-faith manner.
